Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Vouch platform (“Service”) operated by Nero Falcon Pty Ltd (ABN 33 109 046 531) trading as Zenbridge (“Zenbridge”, “we”, “us”). By using the Service, you agree to be bound by these Terms.

1. The Service

Vouch provides businesses (“Clients”) with branded review request pages that help their customers submit Google reviews. Customers who visit a Client’s Vouch page (“End Users”) are not required to create an account to use the Service.

2. Client accounts and responsibilities

Clients are responsible for:

Keeping their admin credentials secure and not sharing them with unauthorised parties
Ensuring they have appropriate consent before sending Vouch links to their customers
Complying with Google’s review policies and all applicable laws when soliciting reviews
Ensuring the business information (name, Place ID) they configure is accurate
Promptly responding to service-recovery submissions from End Users

3. Acceptable use

You must not use the Service to:

Solicit or incentivise fake, misleading, or inauthentic reviews
Harass, deceive, or exploit End Users
Attempt to circumvent security controls, rate limits, or bot detection measures
Scrape, reproduce, or resell any part of the Service without our written consent
Upload content that is unlawful, defamatory, or infringes third-party intellectual property rights

4. Intellectual property

The Vouch platform, including its code, design, and branding, is owned by Nero Falcon Pty Ltd (ABN 33 109 046 531) trading as Zenbridge. Clients retain ownership of their own business content (logos, names, copy). End Users retain ownership of the review text and photos they submit.

By submitting content through the Service, End Users grant Zenbridge and the relevant Client a non-exclusive licence to store and display that content for the purpose of operating the Service.

5. Disclaimers

The Service is provided “as is” without warranty of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or that reviews submitted through Vouch will be published by Google. Google’s review platform is independently operated and subject to its own terms.

6. Limitation of liability

To the maximum extent permitted by Australian law, Zenbridge’s total liability arising from or related to these Terms or the Service is limited to the fees paid by the Client in the three months preceding the claim. We are not liable for any indirect, incidental, or consequential loss.

7. Termination

We may suspend or terminate access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Clients may close their account at any time by contacting us.

8. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes are published constitutes acceptance of the revised Terms. We will notify active Clients of material changes by email.

9. Governing law

These Terms are governed by the laws of Queensland, Australia. Any disputes are subject to the non-exclusive jurisdiction of the courts of Queensland.
